These Terms govern your use of menu.video (the "Service"), operated by Loopeasy Ltd, a company registered in Cyprus (Reg. no. CY10415130F), with registered office at 2, United Nation Street, Anastasia Court, 1st floor, Larnaca 6042, Cyprus ("we", "us"). By accessing or using the Service you agree to these Terms.

1. The Service

menu.video provides restaurants and bars ("the Customer") with a digital video menu accessible via QR code on a dedicated subdomain (yourname.menu.video), together with a management dashboard and, on eligible plans, AI-assisted video production.

2. Eligibility & account

You must be of legal age and authorised to act for the business you register. You are responsible for keeping your account credentials secure and your account information accurate and current.

3. Packages & fees

The Service is offered in packages (AI and Real Shoot; legacy Starter accounts keep their plan), each with a one-time setup fee and a recurring monthly fee as published at the time of purchase. The Real Shoot setup fee depends on the location of the shoot: at purchase you pay a €400 deposit, credited against the setup fee; the balance is confirmed to you in writing and is due after the call in which we set the shooting dates. The monthly fee covers hosting, video storage and delivery, the dedicated subdomain, insights and product updates. We may change list prices; your price does not change during your minimum term.

4. Payments, minimum term & cancellation

Payments are processed by Stripe. At checkout you pay the one-time setup fee only (for Real Shoot, only the €400 deposit). The monthly fee starts on the 31st day after the setup payment (for Real Shoot, after the balance payment) and is then charged automatically every month to the payment method on file.

Subscriptions have a minimum term of 12 or 24 months, chosen at purchase and counted from the day the monthly fee starts. After the minimum term the subscription renews for successive 12-month periods unless either party gives at least 60 days' written notice before the end of the current term. If you terminate before the end of the minimum term, the monthly fees for the remaining months of that term become due. If a payment fails, the public menu may be suspended after 7 days and the agreement terminated after 30 days, without prejudice to the fees due. Setup fees are non-refundable once setup work has started. Plan upgrades take effect immediately with prorated billing of the difference.

5. Your content

You retain ownership of the material you upload yourself (your own videos and photos, logos, menu texts, prices) and grant us a non-exclusive licence to host, process (e.g. video encoding, AI enhancement) and display it solely to provide the Service. You warrant that this material does not infringe third-party rights and complies with applicable law. We may remove content that is unlawful or violates these Terms.

6. Content created with menu.video — licence

All content produced by or through the Service — AI-generated videos, videos shot by our crew, AI-enhanced images, edits, covers and the menu layout itself ("menu.video Content") — is and remains the property of Loopeasy Ltd. For as long as your subscription is active and paid, we grant you a non-exclusive, non-transferable, non-sublicensable licence to use the menu.video Content of your own venue:

Where the platform allows it, tag or mention @menu.video when you post menu.video Content. Posts published while the subscription was active may stay online after it ends; no new use is allowed after that.

You may not, and may not allow anyone else to:

When the subscription ends, for any reason, the licence ends with it and the menu goes offline. For each breach of this section you owe liquidated damages equal to the greater of twelve monthly fees or €3,000, without prejudice to our right to claim further damages and to seek injunctive relief. We do not guarantee a specific aesthetic result for AI-generated videos; the tries included in your plan are shown in your dashboard.

7. Acceptable use

You may not use the Service for unlawful purposes, to infringe intellectual property, to harass, to distribute malware, or to circumvent security. We may suspend accounts that breach these Terms.

8. Third-party services

The Service relies on third parties (hosting, database, video delivery, payment, email). We are not responsible for their availability or for external sites linked from the Service.

9. Availability

We target high availability but do not guarantee uninterrupted operation. Maintenance and factors beyond our control may temporarily affect the Service.

10. Disclaimer & limitation of liability

The Service is provided "as is". To the maximum extent permitted by law, our aggregate liability arising out of the Service is limited to the fees paid by the Customer in the three months preceding the claim. We are not liable for indirect damages, loss of profits or loss of data.

11. Indemnification

You agree to indemnify Loopeasy Ltd against third-party claims arising from your content or your breach of these Terms.

12. Governing law

These Terms are governed by the laws of the Republic of Cyprus and the applicable laws of the European Union. Disputes are subject to the exclusive jurisdiction of the courts of Cyprus.

13. Changes

We may update these Terms; material changes will be reflected by the "last updated" date. Continued use constitutes acceptance.

This document is an operational draft and will be reviewed by legal counsel before final publication.
